Policy for Offsite Resellers: Payment Requirements

Reseller Payment Policy

Effective Date: May 26, 2025

Policy Overview

All payments on SWAPD are processed by VEYYO Limited Partnership (Canada), acting as Merchant of Record. Resellers may not instruct or allow their offsite clients to send payments directly to SWAPD under the client’s name.

Resellers are the contracting party with SWAPD. Their clients are not customers of SWAPD. Therefore, all payments must be made from the reseller’s own verified account or company entity. This ensures that liability, invoicing, and dispute resolution remain solely between SWAPD and the reseller.

Why This Policy Exists

If a client pays SWAPD directly:

  • The client could file a chargeback against SWAPD, bypassing the reseller entirely.
  • The reseller could avoid accountability, despite being the actual seller of the service.
  • SWAPD would be exposed to unnecessary risk, as the contract chain would be broken.

By requiring resellers to fund checkout tickets themselves, SWAPD ensures accountability remains exactly where it belongs: on the reseller.

Policy Details

1. Prohibited Action
Resellers may not allow or instruct clients to pay SWAPD directly under their own names or accounts.

2. Enforcement

  • SWAPD will audit incoming payments to confirm they match the reseller’s verified ID or company.

  • Non-compliance results in escalating enforcement:

    • First Offense → Formal warning.
    • Subsequent Offenses → Account demotion.
    • Repeated Violations → Account suspension or closure.

3. Compliance Requirement
Resellers must fund all checkout tickets themselves using their own bank account, crypto wallet, or verified company entity. Clients must pay the reseller first. The reseller then pays SWAPD.

How to Comply

  • Use Your Own Accounts – Payments to SWAPD must always come from accounts legally tied to the reseller.
  • Do Not Reassign Liability – Clients are never contracting with SWAPD. They contract with the reseller, who contracts with SWAPD.
  • Maintain Liquidity – Resellers must have sufficient funds to independently cover transactions without relying on direct client-to-SWAPD payments.

Consequences of Non-Compliance

Failure to comply will result in account warnings, demotion, or closure at SWAPD’s sole discretion. SWAPD enforces this policy to protect its legal standing as Merchant of Record and to preserve a fair, transparent, and secure environment for all members.
