Effective Date: April 15th, 2026

SWAPD is a managed digital commerce platform specializing in the administration of transactions involving intangible assets, including social media accounts, digital advertising opportunities, specialized online services, and digital influence. Throughout this Agreement, the terms “SWAPD,” “service,” “site,” and “platform” collectively refer to SWAPD.co, its mobile applications, and all associated services operated by VEYYO Limited Partnership.

SWAPD provides professionally managed transaction administration and commercial fulfillment services. Every qualifying transaction is subject to active human participation, including listing review, participant verification, compliance screening, payment administration, transaction monitoring, discretionary decision making, rule enforcement, and dispute resolution performed by authorized SWAPD personnel. No qualifying transaction is accepted, administered, or concluded solely through automated software or self executing systems.

Access to the SWAPD website, community forum, or platform interface is incidental to these managed commercial services. Users do not purchase access to automated software, downloadable products, self executing online tools, or subscription based digital functionality. Rather, users engage VEYYO Limited Partnership to administer qualifying transactions under continuous human oversight and operational control.

These Terms of Service (“Agreement”) govern your use of SWAPD and constitute a legally binding agreement between you and VEYYO Limited Partnership, an Ontario, Canada registered Limited Partnership. VEYYO Limited Partnership operates SWAPD and, except where payments are processed exclusively through an independent third party payment processor such as Trustap, acts as the Merchant of Record, contracting party, payment recipient, and transaction administrator for qualifying purchases completed through the platform.

By accessing or using SWAPD, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the services.

1. Legal Capacity and Eligibility

1.1 Age Requirement – You must be at least 18 years of age to register for or use SWAPD. By registering, you represent and warrant that you possess the legal capacity to enter into binding contracts.

1.2 Jurisdictional Restrictions – You may not use SWAPD if you are located in a jurisdiction subject to Canadian, United States, European Union, or other applicable sanctions, or where use of the services offered by SWAPD would violate applicable law.

1.3 Business vs. Consumer Users – Many transactions facilitated by SWAPD involve commercial activity between businesses or professional contractors. Users acknowledge that consumer protection legislation may not apply where they act in the course of business.

1.4 Canadian Transactions – Due to VEYYO Limited Partnership’s corporate and tax structure, SWAPD does not currently provide managed transaction services to customers located in Canada. SWAPD reserves the right to reject, suspend, or cancel any transaction that presents a Canadian billing address, residency, or other substantial Canadian nexus.

2. Role of SWAPD and VEYYO LP

2.1 Merchant of Record – For transactions processed directly through SWAPD, VEYYO Limited Partnership acts as Merchant of Record and is the contracting party with the Buyer. VEYYO LP invoices the Buyer, collects payment in its own name, administers the transaction, and may fulfill contractual obligations through subcontractors or specialized service providers engaged at its discretion.

2.2 Contractors – Individuals offering services through SWAPD operate solely as contractors engaged by VEYYO LP where applicable. They are not employees, agents, franchisees, joint venture partners, or legal representatives of VEYYO LP or SWAPD.

2.3 Operational Administration – VEYYO LP actively administers qualifying transactions through human review, listing moderation, participant verification, payment administration, compliance review, operational monitoring, discretionary decision making, dispute management, and contractor coordination. SWAPD is not a passive listing service or automated transaction matching system.

2.4 Contractor Performance – Although VEYYO LP administers qualifying transactions, contractors remain solely responsible for the legality, accuracy, quality, and technical performance of the services they provide. Except where expressly stated in these Terms or mandatory law, VEYYO LP does not warrant any specific commercial outcome.

2.5 Ownership of Funds – Upon successful receipt of payment, legal title to funds transfers to VEYYO Limited Partnership. VEYYO LP may release, retain, delay, offset, or withhold contractor compensation in accordance with these Terms, applicable platform policies, grace periods, fraud prevention procedures, or dispute determinations.

2.6 Nature of Services – SWAPD does not provide custodial, fiduciary, brokerage, trust, investment, escrow, or payment institution services. Its commercial activities consist of managed transaction administration performed under continuous human supervision.

3. Accounts and Verification

3.1 Security – Users are responsible for maintaining the confidentiality of their credentials. SWAPD shall not be liable for losses arising from unauthorized account access resulting from the user’s failure to maintain appropriate security.

3.2 Single Account Policy – Unless expressly authorized by SWAPD, each individual or legal entity may maintain only one account. Duplicate or related accounts may be suspended or permanently terminated.

3.3 Verification – SWAPD may require identity verification through independent providers, including SumSub, which may include government identification, biometric verification, proof of address, source of funds documentation, or enhanced due diligence. Failure to complete verification may result in restricted access, delayed transactions, or permanent account closure.

4. Transactions and Fees

4.1 Platform Requirement – All qualifying transactions initiated through SWAPD must remain under SWAPD administration until completion. Attempts to circumvent platform supervision or applicable service fees by completing transactions externally may result in immediate account termination. Members participating in qualifying transactions must comply with the SWAPD Transaction Contract.

4.2 Service Fees – VEYYO LP charges subcontractors service fees ranging between 2% and 11%, depending on transaction volume, member status, payment method, operational costs, and other commercial considerations.

4.3 Payment Methods – SWAPD currently accepts BTC, ETH, SOL, USDT, and other payment methods approved by VEYYO LP from time to time. Certain transactions may also be processed through Trustap.com, which independently administers payment processing. Transaction limits and payment availability may vary based on verification status, transaction history, and internal risk assessments.

4.4 Trustap Transactions – Payments processed entirely through Trustap are administered exclusively by Trustap. VEYYO LP neither receives nor controls such funds and cannot issue invoices for payments processed solely through Trustap. Users remain subject to both these Terms and Trustap’s own contractual terms.

4.5 Refund Processing Fee – Refunds, cancellations, reversals, or administrative payment corrections processed directly by VEYYO LP are subject to a 1% Refund Processing Fee, which covers banking costs, blockchain transaction fees, operational expenses, and administrative processing. External network charges remain non refundable.

5. Refunds, Cancellations, and Disputes

5.1 Refunds – Refunds are not automatic and shall be issued solely at the discretion of VEYYO LP, unless otherwise required by applicable law or expressly provided under these Terms or published platform policies.

5.2 Cancellations – Where a transaction is cancelled following payment, the applicable 1% Refund Processing Fee shall apply regardless of which party requested or caused the cancellation, unless VEYYO LP expressly waives such fee.

5.3 Dispute Administration – VEYYO LP reserves the right to investigate, administer, and resolve disputes arising from transactions conducted through SWAPD. Users agree to cooperate fully with any investigation, including providing evidence, documentation, communications, account access records, or other information reasonably requested by SWAPD personnel.

5.4 Dispute Resolution Fee – Where substantial staff intervention is required to investigate or resolve a dispute, VEYYO LP may assess a 5% Dispute Resolution Fee, deducted from funds otherwise payable, or invoiced separately where appropriate.

5.5 Binding Decisions – Unless prohibited by mandatory law, all dispute determinations, administrative findings, eligibility decisions, and enforcement actions made by authorized SWAPD personnel are final and binding upon all parties.

5.6 Finality of Transactions – Except where mandatory law requires otherwise, transactions marked as completed are considered final. Buyers waive any contractual claim against VEYYO LP for refunds, payment reversals, or chargebacks after completion except where expressly permitted under these Terms or required by applicable law.

6. User Content and Conduct

6.1 Content Ownership – Users retain ownership of content they submit to SWAPD. By submitting content, users grant VEYYO LP a worldwide, perpetual, non exclusive, royalty free license to host, reproduce, display, archive, distribute, and otherwise use such content solely for operating, administering, securing, promoting, and improving SWAPD.

6.2 Prohibited Content – Users may not publish, distribute, advertise, or facilitate content involving unlawful activities, intellectual property infringement, malware, phishing, stolen data, fraudulent services, deceptive practices, or any other material prohibited under SWAPD policies.

6.3 Compliance with Laws – Users remain solely responsible for ensuring that their activities, listings, purchases, sales, and use of SWAPD comply with all laws and regulations applicable within their own jurisdiction.

6.4 Content Representations – By publishing content on SWAPD, including text, images, software, audio, video, listings, advertisements, or other materials, you represent and warrant that:

  • You possess all necessary rights and permissions to publish such content.
  • Your content does not infringe any intellectual property or proprietary rights.
  • Your content does not contain malware, malicious code, deceptive functionality, or unauthorized access mechanisms.
  • Your content does not violate privacy, publicity, confidentiality, or contractual obligations.
  • Any software or technical material is accurately described.
  • Your content complies with SWAPD’s Prohibited Items and Services List.

6.5 Member Conduct – Members must conduct themselves honestly, professionally, and in good faith. Users shall comply with category rules, staff instructions, verification requirements, and platform policies.

6.6 Prohibited Conduct – Members shall not manipulate reputation systems, evade platform fees, solicit off platform transactions, impersonate other persons, interfere with investigations, misuse verification procedures, create duplicate accounts, or otherwise undermine the integrity or security of SWAPD.

7. No Guarantee and Disclaimer of Warranties

7.1 As Is – SWAPD, VEYYO LP, and all managed transaction services are provided strictly on an “as is” and “as available” basis without warranties or guarantees of any kind, whether express, implied, statutory, or otherwise.

7.2 Contractor Performance – VEYYO LP does not warrant or guarantee the quality, legality, accuracy, timeliness, reliability, availability, or commercial success of services performed by contractors or subcontractors engaged through SWAPD.

7.3 Digital Assets – VEYYO LP makes no representation or warranty that any digital account, profile, domain, advertisement, social media property, online asset, or purchased service will remain available, recoverable, transferable, monetizable, or free from suspension, restriction, deletion, recovery, or enforcement action by third party platforms.

7.4 Platform Availability – SWAPD does not warrant uninterrupted availability of its services and may suspend, modify, restrict, or discontinue any portion of the platform at any time without liability.

7.5 No Professional Advice – Information provided through SWAPD does not constitute legal, accounting, tax, investment, regulatory, or professional advice.

8. Limitation of Liability

8.1 Excluded Damages – To the fullest extent permitted by applicable law, VEYYO LP, SWAPD, their affiliates, officers, employees, contractors, licensors, and representatives shall not be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages arising from or relating to:

  • Acts, omissions, fraud, negligence, misconduct, or contractual breaches committed by contractors or users.
  • Suspension, deletion, recovery, restriction, demonetization, or loss of digital assets.
  • Commercial losses, lost profits, lost opportunities, lost business relationships, or reputational damage.
  • Cryptocurrency volatility, blockchain congestion, wallet failures, exchange failures, or network disruptions.
  • Delays, freezes, payment failures, or operational interruptions involving Trustap, banks, payment processors, blockchain infrastructure, or third party financial institutions.
  • Government investigations, sanctions, platform enforcement actions, regulatory changes, or legal restrictions affecting purchased services or digital assets.

8.2 Maximum Liability – To the fullest extent permitted by law, the aggregate liability of VEYYO LP and SWAPD arising from any single transaction or related series of transactions shall not exceed the lesser of:

(a) the total service fees retained by VEYYO LP for the applicable transaction; or

(b) USD $500.

8.3 Exclusive Remedy – Except where prohibited by mandatory law, the remedies expressly provided under these Terms constitute the user’s exclusive remedies against VEYYO LP and SWAPD.

8.4 Operational Discretion – Users acknowledge that VEYYO LP exercises independent commercial judgment when reviewing listings, approving transactions, selecting contractors, administering payments, enforcing policies, investigating disputes, and determining appropriate platform actions. Such discretionary decisions do not create any fiduciary, agency, brokerage, escrow, or trustee relationship between VEYYO LP and any user.

9. Taxes and Invoicing

9.1 User Tax Obligations – Users are solely responsible for determining, reporting, collecting, remitting, and paying any taxes, duties, levies, withholding obligations, or governmental charges arising from their participation in transactions facilitated through SWAPD.

9.2 Merchant of Record Invoicing – For payments processed directly by VEYYO LP, VEYYO Limited Partnership acts as Merchant of Record and may issue invoices, receipts, or other commercial documentation in its own name. Payments processed exclusively through independent payment providers, including Trustap, remain subject to the invoicing practices and contractual terms of those providers.

9.3 Contractor Compensation – Contractors performing services in connection with managed transactions may be required to invoice VEYYO LP for compensation where required by applicable law. Buyers acknowledge that they purchase from VEYYO LP and will not receive invoices directly from subcontractors or contractors.

9.4 No Tax Advice – Nothing contained within SWAPD or these Terms constitutes tax, accounting, financial, or legal advice. Users should obtain independent professional advice regarding their own reporting obligations.

10. Termination

10.1 General Right of Termination – VEYYO LP reserves the unrestricted right to suspend, restrict, refuse service to, or permanently terminate any account or transaction at its sole discretion, with or without prior notice, where permitted by applicable law.

10.2 Immediate Suspension – SWAPD may immediately suspend accounts where fraud, identity abuse, sanctions violations, suspicious activity, payment irregularities, platform manipulation, security concerns, or breaches of these Terms are reasonably suspected.

10.3 Effect of Termination – Account termination does not extinguish obligations arising before termination, including payment obligations, dispute proceedings, indemnification obligations, confidentiality obligations, or any provision intended to survive termination.

11. Indemnification

You agree to fully indemnify, defend, and hold harmless VEYYO Limited Partnership, SWAPD, their affiliates, officers, directors, employees, contractors, licensors, successors, and assigns from and against any claims, actions, proceedings, liabilities, damages, judgments, penalties, losses, costs, or expenses, including reasonable legal fees, arising directly or indirectly from:

  • your use of SWAPD;
  • your violation of these Terms;
  • your violation of applicable laws or regulations;
  • your infringement of intellectual property or privacy rights;
  • services, content, or representations supplied by you;
  • disputes between you and other users or third parties.

This obligation survives termination of your account.

12. AML and Compliance

12.1 Regulatory Compliance – Users agree to comply with all applicable anti money laundering, counter terrorist financing, sanctions, export control, and know your customer laws applicable to their activities.

12.2 Verification Requirements – VEYYO LP may require identity verification, source of funds documentation, proof of ownership, enhanced due diligence, wallet verification, sanctions screening, politically exposed person screening, or any additional compliance measures considered reasonably necessary.

12.3 Transaction Monitoring – SWAPD reserves the right to delay, reject, suspend, reverse, or refuse any transaction that, in its sole judgment, presents elevated legal, regulatory, financial, operational, reputational, or fraud related risk.

12.4 Reporting Obligations – Where required or permitted by applicable law, VEYYO LP may disclose information to financial institutions, payment processors, regulatory authorities, tax authorities, or law enforcement agencies without prior notice to the affected user.

12.5 Restricted Jurisdictions – SWAPD may refuse to provide services involving jurisdictions, individuals, financial institutions, wallets, payment methods, or transactions that present unacceptable legal or compliance risk. The current list of restricted jurisdictions is published below and may be modified without prior notice:

13. Force Majeure

VEYYO LP shall not be liable for any delay, interruption, suspension, or failure to perform arising from events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, civil unrest, governmental actions, sanctions, cyber attacks, internet failures, telecommunications failures, blockchain disruptions, software failures, utility outages, banking interruptions, or failures of third party infrastructure.

14. Governing Law

These Terms shall be governed exclusively by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Subject to mandatory consumer protection legislation where applicable, users irrevocably submit to the exclusive jurisdiction of the courts located in Ontario, Canada.

15. Modifications

VEYYO LP reserves the right to amend, supplement, replace, or update these Terms at any time.

Material amendments become effective upon publication unless otherwise stated. Continued use of SWAPD following publication constitutes acceptance of the revised Terms.

16. Disclaimer of Responsibility

To the fullest extent permitted by applicable law, VEYYO Limited Partnership and SWAPD expressly disclaim responsibility for:

  • the legality, quality, accuracy, availability, or performance of services performed by contractors;
  • statements, representations, promises, listings, advertisements, or communications made by users;
  • losses arising from platform enforcement actions taken by third party websites or social media platforms;
  • failures, delays, freezes, insolvencies, interruptions, or operational issues involving banks, blockchain networks, payment processors, cryptocurrency exchanges, or Trustap;
  • commercial decisions, investment decisions, or business outcomes resulting from services obtained through SWAPD.

Users acknowledge that VEYYO LP administers managed commercial transactions but does not guarantee the future performance, continued availability, or legal status of digital assets supplied by contractors.

Except where expressly required by mandatory law, users waive any claim against VEYYO LP arising solely from contractor misconduct, platform enforcement actions by third parties, or circumstances outside VEYYO LP’s reasonable operational control.
