SWAPD is a digital marketplace and community platform facilitating the exchange of intangible assets such as websites, domains, social media accounts, digital advertising opportunities, and online influence. In this document, “SWAPD,” “service,” “site,” “forum,” and “marketplace” collectively refer to SWAPD.co, its mobile applications, and all associated services.

These Terms of Service (the “Agreement”) govern your use of SWAPD and form a legally binding contract between you and VEYYO Limited Partnership, an Ontario (Canada) registered Limited Partnership, which operates SWAPD and acts as Merchant of Record for all financial transactions processed directly through the platform (except where handled by independent third-party processors such as Trustap).

By accessing or using SWAPD, you agree to these Terms. If you do not agree, you must not use our services.


1. Legal Capacity and Eligibility

1.1 Age Requirement – You must be at least 18 years of age to register for or use SWAPD. By registering, you represent and warrant that you are legally capable of entering into binding contracts.

1.2 Jurisdictional Restrictions – You may not use SWAPD if you are located in a country or territory subject to Canadian, U.S., or EU sanctions, or where use of online marketplaces of this type is prohibited by local law.

1.3 Business vs. Consumer Users – Users acknowledge that transactions on SWAPD often involve commercial activity. Where a user is acting in the course of business, consumer protection rules may not apply.


2. Role of SWAPD and VEYYO LP

2.1 Merchant of Record – VEYYO LP acts as the Merchant of Record (“MoR”) for transactions conducted directly through SWAPD (excluding Trustap transactions). Buyers purchase directly from VEYYO LP, which invoices the buyer, collects payment, deducts platform fees, and arranges fulfillment via independent contractors, sellers, or service providers.

2.2 Independent Contractors – All sellers engaged through SWAPD are independent contractors. They are not employees, agents, or representatives of SWAPD or VEYYO LP.

2.3 No Warranty of Performance – SWAPD provides the marketplace and payment infrastructure but does not guarantee, warrant, or assume liability for the quality, legality, delivery, or outcomes of services provided by contractors or sellers.

2.4 Risk Allocation – All risks associated with contractor performance rest solely with the buyer and seller, not with SWAPD or VEYYO LP.


3. Accounts and Verification

3.1 Security – You are responsible for maintaining the confidentiality of your account details. SWAPD is not liable for losses resulting from unauthorized access caused by your failure to secure your account.

3.2 Single Account Policy – Each user may only maintain one SWAPD account. Duplicate accounts may be suspended or terminated.

3.3 Verification – Users may be required to undergo identity verification through third-party providers such as SumSub, including government-issued ID checks, video verification, or proof of address. Failure to complete verification may limit access.


4. Transactions and Fees

4.1 Platform Requirement – All transactions must be conducted through SWAPD. Off-platform transactions designed to avoid service fees are strictly prohibited and may result in termination of accounts.

4.2 Service Fees – SWAPD charges service fees to subcontractors between 2% and 11% depending on transaction volume, payment method, and member status.

4.3 Payment Methods – SWAPD accepts payment via cryptocurrency (BTC, ETH, USDT, USDC, SOL), and via third-party processor Trustap.com (credit card/bank wire). Limits may apply based on user trust levels.

4.4 Trustap Transactions – All payments made via Trustap are processed exclusively by Trustap. VEYYO LP and SWAPD do not control, hold, or access such funds, nor can VEYYO LP issue invoices for payments processed through Trustap. Users engaging in Trustap transactions must comply with Trustap’s Terms of Service, in addition to these Terms. Any issues regarding payments, refunds, or chargebacks on Trustap fall under Trustap’s control, not SWAPD’s or VEYYO LP’s.

4.5 Refund Processing Fee – All refunds, cancellations, or reversals of payments processed directly by SWAPD are subject to a 1% Refund Processing Fee. This fee is deducted prior to refund issuance and covers administrative, banking, and blockchain costs. Network fees and bank charges are non-reimbursable.

4.6 High-Value Transactions – For transactions above USD $5,000, if a cancellation or refund is caused by seller default, the buyer may request reimbursement of the 1% refund fee directly from the seller.


5. Refunds, Cancellations, and Disputes

5.1 Refunds – Refunds are not automatic and are issued only at the discretion of SWAPD, unless required by law.

5.2 Cancellations – Users who initiate cancellations agree that the 1% refund processing fee applies regardless of fault.

5.3 Disputes – If SWAPD staff must intervene in a dispute, a 5% dispute resolution fee applies:

  • If the buyer is at fault, the buyer pays the 5%.
  • If the seller is at fault, the seller pays the 5%.
  • If both are at fault, each pays 2.5%.

5.4 Binding Nature – Dispute resolutions by SWAPD staff are binding and final.

5.5 Finality of Sales – Except where required by applicable law, all completed transactions on SWAPD are final. Buyers waive any right to chargebacks, reversals, or retroactive claims once a transaction is marked complete.


6. User Content and Conduct

6.1 Content Ownership – Users retain ownership of content posted on SWAPD but grant SWAPD a worldwide, royalty-free license to display and distribute such content for platform purposes.

6.2 Prohibited Content – Users may not post or sell items that are illegal, infringe intellectual property rights, or violate platform rules (including spam, malware, phishing, stolen data, or fraudulent accounts).

6.3 Compliance with Laws – Users are solely responsible for ensuring their use of SWAPD complies with applicable local laws and regulations.

6.4 Content Disclaimer – When you post content on the SWAPD website or mobile application, including text, graphics, audio files, or software, you are solely responsible for it. By posting, you confirm that:

  • Your content does not infringe intellectual property rights.
  • You have obtained any necessary permissions (e.g., employer waivers, third-party licenses).
  • Your content does not contain harmful code or deceptive practices.
  • Your content is not pornographic, threatening, inciting violence, or violating privacy/publicity rights.
  • You accurately describe computer code, if included.
  • You comply with SWAPD’s Prohibited Items/Services List.

6.5 Mandatory Member Conduct – Members must respect privacy, follow category rules, and use the platform in good faith.

6.6 Prohibited Member Actions – Members must not manipulate trust levels, solicit personal contact details, make private offers off-platform, or act as unauthorized middlemen.


7. No Guarantee and Disclaimer of Warranties

7.1 “As Is” Basis – SWAPD and VEYYO LP provide the platform and services strictly “as is” and without warranties of any kind, whether express or implied.

7.2 No Guarantee of Supplier Services – VEYYO LP does not guarantee, endorse, or warrant services provided by third-party contractors or sellers.

7.3 No Guarantee of Digital Assets – SWAPD does not guarantee that digital assets such as accounts, domains, or influence will remain active, accessible, or immune from suspension, remove, or recovery after purchase.

7.4 No Guarantee of Availability – SWAPD does not warrant that the site or services will be available without interruption or error.

7.5 No Professional Advice – SWAPD does not provide legal, tax, or financial advice.


8. Limitation of Liability

8.1 Exclusions – To the maximum extent permitted by law, SWAPD and VEYYO LP shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to:

  • Contractor or seller misconduct, fraud, or non-performance;
  • Suspension, deletion, or recovery of digital assets;
  • Negative consequences of purchased services;
  • Cryptocurrency volatility or network failures;
  • Any delays, freezes, errors, or losses arising from third-party payment processors (including but not limited to Trustap, banks, or cryptocurrency exchanges);
  • Government restrictions, sanctions, or enforcement actions affecting a transaction.

8.2 Maximum Liability – In no case shall SWAPD’s aggregate liability exceed the lesser of (a) service fees paid to SWAPD for the transaction in question or (b) USD $500.


9. Taxes and Invoicing

9.1 Tax Responsibility – Users are responsible for reporting and paying all applicable taxes in their jurisdiction. SWAPD does not provide tax advice.

9.2 Invoicing – As Merchant of Record, VEYYO LP issues invoices only for payments processed directly through SWAPD. For payments processed through Trustap, VEYYO LP does not issue invoices, as all invoicing is subject to Trustap’s own policies. Independent contractors and service providers engaged through SWAPD may be required to invoice VEYYO LP directly for their compensation, in accordance with their own local tax laws. Buyers will not receive invoices directly from contractors.


10. Termination

SWAPD reserves the right to suspend or terminate accounts at its discretion, with or without cause or notice.


11. Indemnification

You agree to indemnify and hold harmless SWAPD, VEYYO LP, and their affiliates, officers, directors, employees, and contractors against any claims, damages, or expenses (including legal fees) arising out of your use of the platform or violation of these Terms.


12. AML and Compliance

12.1 Compliance – Users agree to comply with all applicable anti-money laundering (AML), counter-terrorist financing (CTF), and know-your-customer (KYC) regulations.

12.2 Verification – SWAPD may conduct identity checks via third-party providers such as SumSub. Transactions may be delayed or cancelled if verification requirements are not met.

12.3 Cooperation with Authorities – SWAPD reserves the right to report suspicious activity to regulatory, financial, or law enforcement authorities.

12.4 Restricted Jusridictions - Prohibited Transactions from Specific Countries and Territories: SWAPD cannot receive money in any currency from the following countries and territories due to various regulatory and compliance reasons:

  • Panama
  • Russian Federation
  • Somalia
  • South Sudan
  • Sudan
  • Syria
  • Serbia
  • Trinidad and Tobago
  • Venezuela
  • Yemen

Users are advised to ensure that their transactions do not involve funds from these locations to comply with our operational policies and legal obligations.


13. Force Majeure

Neither SWAPD nor VEYYO LP shall be held liable for failure or delay in performance due to events beyond reasonable control, including natural disasters, acts of government, labor disputes, technical failures, or disruptions of telecommunications or internet services.


14. Governing Law

This Agreement shall be governed by and construed under the laws of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Ontario, Canada.


15. Modifications

SWAPD may amend these Terms at any time. Continued use of the platform after changes constitutes acceptance of the revised Terms.


16. Disclaimer of Responsibility

To the maximum extent permitted by law, SWAPD and VEYYO Limited Partnership expressly disclaim any and all liability for the actions, omissions, content, quality, legality, accuracy, delivery, or performance of independent contractors, sellers, or third-party service providers engaged through the platform. SWAPD does not control and is not responsible for the services, promises, or representations made by users, nor for any damages, losses, or disputes arising from transactions between buyers and sellers. SWAPD further disclaims responsibility for errors, failures, or misconduct of third-party payment processors, banking partners, cryptocurrency exchanges, or escrow providers (including but not limited to Trustap). Users acknowledge that their sole recourse in such matters lies directly against the relevant seller or third-party provider, and not against SWAPD or VEYYO Limited Partnership.
