Third-Party Platform Compliance and Subcontractor Warranties
Any user (the “Subcontractor”) who lists or provides services on SWAPD that involve, depend on, or interact with third-party platforms (including but not limited to social media platforms, messaging services, marketplaces, or websites) makes the following binding representations and warranties:
- They possess full legal rights, authority, and/or valid permissions to offer the services listed.
- Their services do not, and will not, violate any applicable laws, regulations, third-party platform terms of service, community guidelines, or intellectual property rights.
- All required licenses, consents, or platform authorizations are valid and up to date.
- They are solely and exclusively responsible for ensuring their service remains compliant with all applicable laws and third-party platform policies throughout the course of the transaction.
By listing or performing a service, the Subcontractor agrees to indemnify, defend, and hold harmless VEYYO Limited Partnership (d/b/a SWAPD), its officers, staff, and affiliates from and against any and all claims, demands, damages, liabilities, fines, penalties, costs, or expenses (including reasonable legal fees) arising directly or indirectly out of:
- Any breach of the representations or warranties above;
- Any misrepresentation of their legal authority or capacity to perform the services offered;
- Any violation of third-party platform rules, intellectual property rights, or applicable laws caused by their services or conduct.
SWAPD acts exclusively as the Merchant of Record and transaction facilitator. While SWAPD manages payments, compliance reviews, and dispute resolution, it does not create, endorse, or guarantee the legality, quality, or accuracy of any service listed. All responsibility for third-party compliance, including platform rules and legal obligations, rests entirely with the Subcontractor.
Survival of Obligations
The representations, warranties, and indemnifications set forth in this clause shall survive the completion of any transaction, the closure of any ticket, and the termination or suspension of the Subcontractor’s account. All obligations remain legally binding until fully satisfied, and SWAPD reserves the right to pursue recovery of damages or debts arising from breaches of this clause at any time.
