To ensure clarity and compliance, it’s important for all members to understand the distinct roles played by each party in a SWAPD transaction. SWAPD operates under a Merchant of Record (MoR) model. This means SWAPD, through its legal entity VEYYO Limited Partnership, is the official seller of record in all transactions.

Buyer

  • The Buyer is the individual or company purchasing a digital property, service, or account through SWAPD.
  • Legally, the Buyer is purchasing from SWAPD, not directly from the Subcontractor.
  • The Buyer receives invoices, receipts, and (if applicable) tax documentation issued by SWAPD.
  • The Buyer is protected under SWAPD’s payment handling, refund policies, and dispute resolution system.

Subcontractor (Seller/Service Provider)

  • The Subcontractor is the individual or company providing the digital property or service.
  • Subcontractors do not sell directly to Buyers. Instead, they are supplying their goods or services to SWAPD, which then delivers them to the Buyer.
  • Subcontractors are paid out by SWAPD only after successful delivery/verification of the asset or service.
  • Subcontractors agree to SWAPD’s policies, dispute outcomes, and compliance requirements.

SWAPD

  • SWAPD is the Merchant of Record for all transactions.
  • SWAPD collects payments from Buyers, issues invoices, and manages delivery confirmations.
  • SWAPD handles refunds, chargebacks, disputes, and ensures compliance with payment/tax regulations.
  • SWAPD provides the Buyer with a compliant purchasing experience and protects Subcontractors by ensuring proper payment once terms are met.

VEYYO Limited Partnership

  • VEYYO Limited Partnership is the legal entity operating behind SWAPD.
  • It functions as the official Merchant of Record entity, responsible for contracting with Buyers and handling all regulatory and financial compliance.
  • Buyers legally purchase from VEYYO (via SWAPD), while Subcontractors provide goods/services to VEYYO.
