Subcontractor Responsibilities Policy

This Subcontractor Responsibilities Policy (“Policy”) is issued by VEYYO Limited Partnership, a Canadian limited partnership operating the platform known as SWAPD.co (“SWAPD,” “we,” “us,” or “our”), in its capacity as Merchant of Record (MoR). This Policy forms part of the contractual framework governing all Transactions on the SWAPD.co platform. By listing or providing goods or services as a Subcontractor, you expressly agree to the obligations and liabilities set forth herein.

1. Accuracy and Integrity of Listings

  • Truthful Disclosure – Subcontractors must provide accurate, complete, and truthful information in all listings and communications. False, misleading, or deceptive descriptions are strictly prohibited and may result in permanent account termination.
  • Confidentiality of Property Identifiers – Subcontractors must not publicly disclose URLs, handles, or other property identifiers in listings, except in the case of domains/websites. Screenshots provided must obscure identifiers unless disclosure is explicitly permitted.
  • Supporting Documentation – Subcontractors shall provide Buyers and SWAPD staff with relevant proof of statistics, income, ownership, and other material facts upon request.

2. Cooperation with SWAPD

  • Verification – Subcontractors must cooperate fully with SWAPD staff, including providing temporary access to properties or accounts where reasonably required for verification.
  • Responsiveness – Subcontractors shall respond promptly to Buyer inquiries and staff requests throughout the Transaction process.

3. Delivery and Performance Obligations

  • Timely Delivery – Subcontractors must deliver the goods, rights, or services specified in the Checkout Ticket within the agreed timeframe.
  • Conformity to Terms – Deliverables must conform strictly to the description and representations made in the listing and Checkout Ticket. Failure to deliver as promised shall constitute a material breach of this Policy.
  • Warranty Compliance – Any warranties, guarantees, or commitments made by the Subcontractor shall be honored in full. Failure to do so may result in account suspension, termination, and financial liability.

4. Liability for Misrepresentation or Breach

Subcontractors acknowledge and agree that they bear full financial responsibility for:

  • Goods or services that are defective, misrepresented, or fail to conform to the Transaction terms;
  • Properties that are later recovered, banned, unpublished, suspended, or otherwise restricted due to the Subcontractor’s acts or omissions;
  • Breaches of warranties, guarantees, or platform rules;
  • Any claims, damages, chargebacks, penalties, or disputes arising from their conduct or deliverables.

SWAPD reserves the right to offset any refund, charge, penalty, or cost against amounts otherwise payable to the Subcontractor. Where such offsets are insufficient, the outstanding balance shall constitute a direct debt owed by the Subcontractor to VEYYO Limited Partnership.

5. Indemnification

The Subcontractor shall indemnify, defend, and hold harmless SWAPD, VEYYO Limited Partnership, and their affiliates from and against any and all claims, damages, liabilities, penalties, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • The Subcontractor’s goods, services, or properties;
  • Any misrepresentation, breach, or failure to deliver;
  • Infringement of third-party rights, including intellectual property rights;
  • Violations of applicable law;
  • Breach of this Policy, the Transaction Contract, or the SWAPD Terms of Service.

6. Debt Obligation Clause

Subcontractors acknowledge and agree that any unpaid liabilities, including but not limited to refund obligations, penalties, indemnification costs, or damages exceeding amounts withheld or offset by SWAPD, shall survive termination of their account and remain enforceable as a legally binding debt owed to VEYYO Limited Partnership. VEYYO reserves the right to pursue collection of such debts through legal action, assignment to third-party collection agencies, or any other remedies available at law or equity.

7. Enforcement

Failure to comply with this Policy may result in immediate account suspension or termination, forfeiture of funds, liability for refunds or damages, and permanent removal from the platform. SWAPD reserves all rights to enforce its remedies under law and equity.
